All services are provided subject to individual project agreements that define scope, deliverables, timelines and fees.
4. Intellectual Property
All content on this website, including but not limited to text, graphics, logos, images, designs, software and source code, is the property of IM COMMUNICATION LLP or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, display or use any content from this website without our prior written consent.
Intellectual property rights for client deliverables are transferred upon full payment as specified in individual project agreements, unless otherwise agreed in writing.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This includes, but is not limited to, business strategies, technical specifications, client data, financial information and trade secrets. This obligation survives the termination of any service agreement.
6. Payment Terms
Payment terms are defined in individual project proposals and agreements. Unless otherwise specified:
- A deposit may be required before work commences
- Invoices are payable within 30 days of issue
- Late payments may incur interest at a rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
- All prices are exclusive of VAT unless otherwise stated
7. Limitation of Liability
To the fullest extent permitted by law, IM COMMUNICATION LLP shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, business opportunities, goodwill or other intangible losses, arising out of or in connection with your use of our website or services.
Our total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
8. Termination
Either party may terminate a service agreement by providing written notice as specified in the relevant project agreement. In the absence of specific termination provisions, either party may terminate with 30 days' written notice. Upon termination, all outstanding fees for work completed become immediately due and payable. Clauses relating to intellectual property, confidentiality and limitation of liability shall survive termination.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. For clients based outside the United Kingdom, we will endeavour to resolve disputes amicably before resorting to legal proceedings.
